Terms of Service

This Terms of Service (“Terms”) contain the terms and conditions upon which Xiamen Yeastar Digital Technology Co., Ltd., (“Yeastar”) provides Yeastar Workplace (“Service”) to customers (“You”). By creating an account, clicking on “Accept” or a similar button, or otherwise using the services, you are agreeing to be bound by the following terms and conditions (“Terms of Service”). If you do not agree with this Terms of Service, you shall immediately: a) stop using the Service; b) do not create your account.

1. Definitions
1.1 “Platform” means the website workplace.yeastar.com and any subdomains of the yeastar.com domain where the Service can be accessed and used.
1.2 “Account” means the account created and used by you on the Platform in order to use the Service.
1.3 “Content” means any information provided by you on the Platform such as but not limited to any information regarding the office locations, number and types of rooms, any information regarding the scheduled meetings, including the meeting topics and participants; any personal data provided by you on the Platform. The Content will be available only to you and other users that you have shared the Content with.
1.4 “Service” means the services provided in relation with Yeastar Workplace solution.
1.5 “Order” means any physical or digital contract, order form, purchase order, or order for additional services placed through the Yeastar website or Yeastar Partner Portal.
1.6 “User” and/or “You” means the person who accesses and uses the Services, in the conditions stipulated under the Terms of Services.

2. Requirements for Use
2.1 In order to use the Service, you need to create an Account on the Platform and be signed in when using the Service. In this respect:
a) You must be 18 years or older to create an Account and to use this Service.
b) You must be a human. Accounts registered by “bots” or other automated methods are not permitted and will be deleted without any prior notice.
c) You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign-up process. Any Account created using fake information will be deleted without any prior notice.
d) You are not allowed to create an account using personal information of a third party (physical or legal persons) unless you are empowered by that person to create an Account.
e) Your login may only be used by one person – a single login shared by multiple people is not permitted.
2.2 Use of the Service requires certain Hardware, stable internet access, and certain software (fees may apply); may require periodic updates; and may be affected by the performance of these factors. Yeastar reserves the right to limit the number of Accounts that may be created, and the number of devices associated with an Account. The latest version of required software may be required for certain transactions or features. You agree that meeting these requirements is your responsibility.
2.3 You are responsible for maintaining the security of your account and password. Yeastar cannot and will not be liable for any loss or damage for your failure to comply with this security obligation.
2.4 You are responsible for all Contents posted and activities by authorized users of your Account.
2.5 You may not use the Service for any illegal or unauthorized purposes and/or activities. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
2.6 You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service.
2.7 You agree not to reproduce, duplicate, copy, sell, resell or exploit any portions of the Service, use of the Service, or access to the Service without the written permission of Yeastar.
2.8 You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages by using the Service.
2.9 You must not propagate any virus, worms, Trojan horses, or other programming routine intended to damage any systems or data.

3. Modifications to the Service and Prices
3.1 Yeastar reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice, including to delete and/or to add new functionalities to the Service and/or to the Software.
3.2 Prices of all Service, including but not limited to subscription plan prices, are subject to change upon 30 days’ notice from us. Such notice may be provided at any time by posting the changes on the www.yeastar.com site or contacting you via email.
3.3 Yeastar shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

4. Yeastar Workplace Plans and Payment
4.1 Service Description. Yeastar Workplace includes three plans: Basic, Standard, and Pro. The Standard Plan and Pro Plan provide enhanced features like desk booking, visitor management, third-party integration, and usage analytics to streamline workplace management. You can also manage more resources with additional charges.
4.2 Billing and Payment. The Standard Plan and Pro Plan may be purchased via Paypal or the account balance of the Yeastar Partner Portal Account at the time of purchase. By providing a Paypal or Yeastar Partner Portal Account, You are expressly authorizing all Service charges and fees to be charged to such payment card or account, including recurring payments billed on a monthly or annual basis. Recurring charges are billed in advance in the frequency set forth in the Order. Credit and debit card payments are subject to the approval of the card issuer, and Yeastar will not be liable in any way if a card issuer refuses to accept a credit or debit card for any reason. You are responsible for any credit card chargeback or similar fees for refused or rejected payments that Yeastar is entitled to charge under this Agreement. If the payment card associated with the Order is declined or fails for any reason, Yeastar will send You a notice using the contact information associated with the Order.
4.3 Upgrade. You can choose to add more rooms to your subscription plan at any time. Upon your upgrade payment, your subscription plan and terms will be updated automatically and You shall pay for the prorated difference.
4.4 Auto Renewal. The Service will renew automatically on a month-to-month or year-to-year basis based on Your initial Order, unless You proactively cancel the automatic renewal before the end of the initial term or then-current renewal term. Yeastar will automatically renew your Order and Service validity term at the end of each billing cycle and shall charge your billing account (i.e. the PayPal Account or Yeastar Partner Portal Account that You used to pay for Your initial Order) on each billing date. The billing date is set 3 days prior to the Service expiration date to avoid unexpected service downtime.
4.5 Cancel Auto Renewal. In accordance with your billing(payment) account for your initial Order, You may terminate the Automatic Renewal by: (i) canceling the PayPal Automatic Payment on your PayPal account, and your termination of the PayPal Automatic Payment is subject to the terms stated in PayPal User Agreement; (ii) canceling the Yeastar Partner Portal Account Balance Automatic Payment on Yeastar Partner Portal.
4.6 Refund. Yeastar does not provide refunds for any pre-approved payments, subscriptions, taxes, or bank fees, including unused or partially used subscription periods.
4.7 Electronic Communication. You will receive Yeastar notifications for the expiration and renewal of the Service through the email you filled out when making the purchase. By using the Service, you consent to receive electronic communications from Yeastar. These electronic communications may include notices about applicable fees and charges, transactional information, and other information concerning or related to the Service. These electronic communications are part of your relationship with Yeastar and You receive them as part of your usage. You agree that any notices, agreements, disclosures or other communications that we send you electronically will satisfy any legal communication requirements, including that such communications be in writing. If you need to change the email, please contact Yeastar.

5. Account Termination
5.1 You may delete your Account and/or stop using the Service at any time. To terminate and delete your Account, contact Yeastar at support@yeastar.com. If you terminate your Account, you will not have access to any Services with that account. This action may be non-reversible. Any fees paid by you prior to your termination are non-refundable (except as expressly permitted otherwise by this Agreement), including any fees paid in advance for the billing year/month during which you terminate. Termination of your Account shall not relieve you of any obligation to pay any accrued fees or charges.
5.2 Yeastar may at any time, has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.
5.3 In the situation you breach any obligation stipulated under this Agreement and/or stipulated by the law, the termination will be effective immediately without any prior notice. In any other situation, you will receive a 30 days’ prior notification by email before the termination of the Account. The termination will be effective when the 30 days’ term is met.

6. Privacy and Data Protection
By using the Service, you acknowledge and agree that Yeastar collects and uses personal information You submit to the Service as set forth in the Privacy Policy. 7. Copyright and Content Ownership
7.1 Yeastar owns all the intellectual Property Rights regarding the Software and the Service. Nothing in this Agreement shall operate to assign or transfer any Intellectual Property Rights to you.
7.2 The structure, organization, and code of the Software are valuable trade secrets and confidential information of Yeastar. The Software, including the Software’s logos and trademarks, are proprietary to Yeastar and protected by applicable laws and by international treaties provisions.
7.3 You shall respect Yeastar’s Intellectual Property Rights, as stipulated under this Agreement and the applicable laws and you shall not: a) make any modification, adaptation, improvement, enhancement, translation, and/or derivative work from the Software; b) decompile, disassemble, reverse engineer, or attempt to decompile, disassemble or reverse engineer the Software.

8. WARRANTIES & DISCLAIMERS
Yeastar represents, warrants, and covenants that (i) the Service will operate as described in the Terms; (ii) it shall provide all materials under this Terms in a professional, workmanlike manner, consistent with industry standards and in compliance with all applicable laws and this Agreement.
Warranty Disclaimer. EXCEPT AS STATED IN THIS SECTION (WARRANTIES & DISCLAIMERS), THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND YEASTAR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, INFRINGEMENT, TITLE, QUIET ENJOYMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE IN TRADE, TOGETHER WITH SIMILAR WARRANTIES, WHETHER ARISING UNDER ANY LAW OR OTHERWISE. TO THE EXTENT THAT YEASTAR CANNOT DISCLAIM ANY SUCH WARRANTY AS A MATTER OF APPLICABLE LAW, THE SCOPE AND DURATION OF SUCH WARRANTY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

9. Miscellaneous
9.1 The failure of Yeastar to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision.
9.2 Yeastar may assign its rights and obligations under this Agreement to any party for any reason whatsoever.
9.3 Any dispute arising under or in connection with this Agreement will be deferred to the competent courts.
9.4 The Terms of Service constitutes the entire agreement between you and Yeastar and governs your use of the Service, superseding any prior agreements between you and Yeastar (including, but not limited to, any prior versions of the Terms of Service).
