Entering into this Agreement:
This End User License Agreement constitutes a valid and binding agreement between Yeastar's BizPBX software ('Software') and You, as a user, for the use of the Software.
Article 1 License and Restrictions
1.1 License. Subject to the terms of this Agreement, Yeastar hereby grants You a limited, personal or company, non-commercial, non-exclusive, non-sub licensable, non-assignable, free of charge license to download, install and use the Yeastar Software on Your computer.
1.2 No Modifications. You will not undertake, cause, permit or authorize the modification, creation of derivative works, translation, reverse engineering, decompiling, disassembling or hacking of the Software or any part thereof.
1.3 Free Trial: This Agreement allows You to try out the Software unlimited period prior to purchase. However, there has a prompt voice less than a second frequently on the calling procedure until you licensed and trial version supports less concurrent calls.
1.4 New Versions of the Software. Yeastar, in its sole discretion, reserves the right to add additional features or functions, or to provide programming fixes, updates and upgrades, to the Software. Within 1 years, You have free access to the new upgraded versions. Beyond 1 year, just pay the price difference to enjoy the greatly upgraded version.
1.5 Paid Services. This Agreement applies to downloading, installing and testing the Software, free of charge for the trial version. If You want to purchase the Software and enjoy the normal calling procedure, You must be licensed on the interface of Software. Firstly click ¡®Register¡¯ on menu ¡®Help¡¯, then follow the instructions to be a licensed user of Software.
Article 2 Definitions to License Restrictions and Additional Terms
2.1 Distribution of Software. You are not allowed to distribute the Software under this Agreement. For the right to distribute You will have to negotiate with the Yeastar.
2.2 Distribution of BizPBX API or component. Under this Agreement You are not allowed to use the BizPBX API or component in connection with applications that You (or any third party) distribute or intend to distribute. If you wish to distribute Your application, which uses BizPBX API or component, You will have to firstly get the permission from Yeastar.
2.3 Use of BizPBX API or component. You may make use of the BizPBX API or component, and for the sole purpose of enabling Your application to connect with the Software, provided that:
2.3.1 All such use of BizPBX API or component is carried out for legitimate purposes and shall in no way and to no extent adversely affect the functionality or performance of the Software or services provided by Yeastar;
2.3.2 You will not remove, overtake, hide or otherwise make the UI inaccessible for end users;
2.3.3 You will monitor the Yeastar Website in order to ensure that You are aware of any changes in the applicable legal documents. In the event You cannot agree on any changes in any applicable legal document, You will immediately cease any and all use of the BizPBX API or component and, where applicable, any and all use of the BizPBX Software;
2.3.4 You acknowledge and agree that Your use of the BizPBX API or component will be at Your own risk and account.
2.4 Any other Exceptions. If You are interested in doing anything else than permitted under this Agreement or by the Distribution Terms or others terms provide by Yeastar, You will have to obtain Yeastar's previous written consent and explicitly agree upon any further (commercial) terms.
Article 3 Utilization of Your computer
3.1 Utilization of Your computer. You hereby acknowledge that the Software may utilize the processor and bandwidth of the computer (or other applicable device) You are utilizing, for the limited purpose of facilitating the communication between Software users.
3.2 Protection of Your computer (resources). You understand that the Software will use its commercially reasonable efforts to protect the privacy and integrity of the computer resources (or other applicable device) You are utilizing.
Article 4 IP Rights
4.1 Exclusive Ownership. You acknowledge and agree that any and all IP Rights to or arising from the Software are and shall remain the exclusive property of Yeastar and/or its licensors.
4.2 No Removal of Notices. You agree that You will not remove, obscure, make illegible or alter any notices or indications of the IP Rights and/or Yeastar's rights and ownership thereof, whether such notice or indications are affixed on, contained in or otherwise connected to any materials.
You expressly acknowledge that you have read this agreement and understand the rights, obligations, terms and conditions set forth herein.
